1.     CORPORATE FINANCE RESOURCES: -

 

We set out details of some of our key solicitors who we believe would be able to assist you.

 

The team has assisted in various companies in their equity fund raising exercises and their collective backgrounds supplement our already established corporate commercial experience which include telecom communications, healthcare, entertainment, property and itnernet operations.

 

In further support of the corporate/commercial department, is our Ms. Cheonghar Wong, partner.  In addition to general commercial experience, Ms Wong has an extensive background in civil litigation, of more than 16 years, initially having worked in Hong Kong for a number of years for Messrs. Johnson Stokes & Master.

 

Though Ms. Wong¡¦s practice is largely civil litigation and compliance matters, she has been involved in a number of actions/matters for directors of listed companies, and regulatory issues concerning the Securities and Futures Commission as well as at the Hong Kong Stock Exchange.  In addition to being admitted as a solicitor in various jurisdictions, Ms. Wong is also an appointed Notary Public in Hong Kong.

 

Another of our associates, Mr. Edward Li has worked for Daiwa Securities (Hong Kong) Limited , the second largest Japanese brokerage firm.  Mr. Li was the Assistant Vice President (legal) advising Daiwa on securities, brokerage and other related legal matters.  In addition, Mr.  Li has also spent some time as legal adviser to a publicly-listed company in Hong Kong, advising on general corporate/commercial matters.

Ø          New China Hong Kong Highway Limited ¡V (BVI Company) private placement of the business of which was the operation of a Sino-foreign joint venture highway in Sichuan Province

Ø          Nam Fong International Holdings Limited (1176) IPO in Hong Kong

Ø          China Merchants Hai Hong ¡V now known as China Merchants China Direct Investment Limited (133) ¡V IPO in Singapore for its subsidiaries Ming Wa Universal (Bermuda) Company Limited

Ø          Guangzhou Investment Company Limited (123), Guangdong Investment Limited (270), China Assets (Holdings) Limited (170), in various compliance matters relating to the Hong Kong  Stock Exchange and the Securities and Futures Commission.

Ø          Ngai Hing Hong Company Limited (1047)

Ø          Health Care Company (now publicly listed) ¡V prepared the Shareholders¡¦ Agreement, bringing all parties together pre-IPO stage (the Management Agreement including the reverse takeover strategy through which it obtained its public listing from start to finish, taking approximately six months to obtain the listing on the main board)

Ø          Firstone ¡V advising on a rights issue for this listed company in respect of a 20% increase in their issued capital.

Ø          A Local Property Group ¡V advising Group on possible takeover of a listed company.

Ø          Hong Kong Telecommunications Company ¡V currently advising on possible reverse takeover of a Hong Kong listed company.

Ø          E-Kong ¡V board advice and general advising.

 

3.    LISTING RELATED SERVICES

 

In addition to the above, we have advised on a listing for an entertainment group in North America, advised private large investor equity funds and ventures who consider high technology entities with a view to listing in the near future.  As legal adviser to the telecommunication ¡§ETS  Society¡¨, we are very much involved in the converging internet/telecoms venture market.

 

Also, we have acted in preparing numerous Shareholders Agreements (bringing all parties together at the pre-IPO stage), the Management Agreements.  We have advised on possible reverse takeover of listed companies; and advised private large investor equity funds.

 

We are familiar with the Listing Rules (for the main board and the GEM) as well as the Takeover Code in Hong Kong and North America listing requirements. We are presently working with our PRC based associates in respect of several major clients who wish to pursue GEM and/or NASDAQ listings.

 

By way of further background, Weir & Associates have forged a relationship with large firms based world-wide including Toronto, Vancouver, Los Angeles, London and New York.  We have in addition further expanded our capabilities through associations with firms throughout Asia and North America, including China, Mongolia, Korea, India and the USA.
